Terms of Service

These Terms of Service ("Terms") govern your access to and use of UpLiquidation.com and any related websites, pages, features, forms, supplier profiles, comparison tools, communications, marketplace services, lead-generation services, and other services operated by UpLiquidation FZC ("UpLiquidation," "UP," "we," "us," or "our").

Important Notice: By accessing or using UpLiquidation, creating or submitting a request, applying to be featured, purchasing a supplier service, or otherwise interacting with the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. About UpLiquidation

UpLiquidation operates an online marketplace, comparison, research, discovery, and lead-generation platform focused on the liquidation, wholesale, surplus, closeout, returns, and secondary-market merchandise industries.

UpLiquidation helps users research liquidation companies, compare suppliers, explore inventory categories, review supplier information, and submit requests relating to inventory availability, pricing, shipping, pickup, and other purchasing needs.

Non-Direct Seller Notice: UpLiquidation does not generally sell liquidation inventory directly. Unless expressly stated otherwise, UpLiquidation is not the seller, owner, manufacturer, distributor, warehouse operator, freight carrier, insurer, guarantor, or party responsible for merchandise offered by third-party suppliers featured on the Platform. Transactions for merchandise are generally entered into directly between the buyer and the applicable third-party supplier.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Platform.

If you use UpLiquidation on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.

Supplier applications and buyer requests must be submitted only for legitimate business, sourcing, purchasing, wholesale, resale, research, or other lawful purposes.

3. The UpLiquidation Marketplace

The Platform may contain:

  • Liquidation company profiles
  • Supplier comparisons and rankings
  • "Top Company" lists & location-based supplier listings
  • Inventory-category pages & retailer-source information
  • Buyer guides, editorial content & screening reports
  • Featured or sponsored placements
  • Buyer intake forms & supplier application systems
  • Lead-generation, advertising, and promotional services

The availability, design, organization, ranking, inclusion, exclusion, and presentation of companies may change at any time. UpLiquidation is not required to list every liquidation company operating in a particular market, category, state, country, or industry.

4. Supplier Screening and Vetting

UpLiquidation may conduct a screening or review process before featuring certain suppliers. Our review may consider factors including business verification, operating history, financial stability indicators, industry reputation, inventory capabilities, and buyer fulfillment practices.

Our screening process is intended to provide users with additional information and improve marketplace quality. Screening, approval, inclusion, verification, ranking, or designation as a featured or vetted supplier is not a guarantee.

UpLiquidation does not guarantee:

  • A supplier's present or future financial condition
  • The authenticity or condition of every item offered
  • The accuracy of every supplier representation
  • Inventory availability, shipping performance, or customer satisfaction
  • Resale value, profit margins, or transaction outcomes

Users remain responsible for conducting their own due diligence before entering into any transaction.

5. Company Profiles and Information

Supplier profiles may contain information obtained from the supplier, publicly available records, websites, third-party sources, and our own research. We attempt to present accurate information, but do not guarantee that every profile field, statistic, or description is error-free.

Suppliers may contact UpLiquidation to request correction of factual information. UpLiquidation reserves the right to investigate requested corrections and determine appropriate changes.

6. Rankings, Comparisons, and Editorial Opinions

Rankings and comparisons reflect our research, methodology, data analysis, and editorial judgment. Rankings are opinions and may change; no supplier has a permanent right to any position.

Unless expressly disclosed, payment for a profile, advertising service, or sponsorship does not guarantee a favorable review or specific editorial ranking. Paid placements will be clearly identified as sponsored, featured, or partner content.

7. Third-Party Trademarks and Logos

UpLiquidation may display company names, trademarks, and logos belonging to third parties for identification, comparison, research, and commentary purposes. All third-party trademarks remain the property of their respective owners.

Unless expressly stated, the appearance of a third-party trademark does not imply sponsorship, endorsement, or ownership by that third party.

8. Retailer Sources

References to Amazon, Walmart, Target, Home Depot, Lowe's, Best Buy, Macy's, or other retailers describe reported or identified sources of inventory.

The phrase "Retailer Sources" does not necessarily mean that a liquidation company has an official partnership, direct contractual relationship, authorization, or affiliation with the identified retailer. Buyers should verify material sourcing representations directly.

9. Buyer Requests

Users may submit requests through features such as Get Inventory & Pricing. A request may ask for contact details, business information, location, budget, inventory preferences, and merchandise categories.

Submitting a request does not create a binding purchase agreement, nor does it guarantee inventory availability, supplier acceptance, or specific transaction completion.

10. How Buyer Requests Are Reviewed and Routed

Buyer requests are submitted to and controlled by UpLiquidation. We review factors including inventory type, budget, location, and supplier capacity.

Submission from a particular company profile does not guarantee exclusive routing to that company. UpLiquidation may match, assign, route, or share a buyer request with one or more suitable suppliers to best service the buyer's sourcing requirements.

11. Consent to Contact

When submitting a buyer request, you authorize UpLiquidation and receiving suppliers to contact you regarding inventory availability, pricing, purchasing options, freight, and related opportunities via telephone, email, or text messages in accordance with applicable law.

You are responsible for providing accurate contact information and maintain the right to withdraw consent or opt out of marketing communications at any time.

12. No Guarantee of Contact or Transaction

UpLiquidation provides research, matching, and lead-generation tools. We cannot guarantee that suppliers will initiate contact, agree on pricing, or that any commercial transaction will close.

13. Buyer Due Diligence

Commercial Risk Warning: Liquidation inventory involves substantial commercial risk. Stock may include customer returns, salvage, unmanifested items, or damaged packaging. Buyers must independently verify merchandise condition, manifest accuracy, shipping terms, return policies, and resale feasibility.

14. Transactions with Third-Party Suppliers

All purchases, invoices, payments, and shipping arrangements are strictly governed by the agreement between the buyer and the supplier. Unless explicitly stated, UpLiquidation is not a party to the transaction and is not responsible for warranty, refund, or performance disputes.

15–19. Supplier Services, Applications, Fees & Lead Data

15. Supplier Applications: Applying to be featured does not guarantee approval, publication, specific lead volume, or revenue.

16. Supplier Representations: Suppliers represent that all business details, credentials, and sourcing statements provided are accurate and lawful.

17. Paid Services: Enhanced profiles, review services, and advertising are subject to separate commercial terms and do not guarantee specific sales outcomes.

18. Fees & Payment: Review and placement fees compensate UpLiquidation for evaluation work and do not purchase favorable editorial results.

19. Lead Data Usage: Suppliers receiving lead data must use it solely for legitimate customer follow-up, safeguard privacy, and comply with all applicable communication laws.

20. Privacy

Personal data collection is governed by our Privacy Policy. By using UpLiquidation, you acknowledge that information may be processed in the United Arab Emirates and other operating jurisdictions with appropriate legal protections.

21. Third-Party Websites and Services

The Platform contains outbound links to third-party marketplaces, freight providers, and services. UpLiquidation does not control third-party websites and is not responsible for their terms or practices.

22–24. IP, User Submissions & Prohibited Use

22. Intellectual Property: UpLiquidation's design, proprietary research, databases, comparison systems, and branding are owned by or licensed to UpLiquidation FZC. Data scraping, database copying, and unauthorized commercial republication are prohibited.

23. User Submissions: You grant UpLiquidation a non-exclusive license to use feedback, reviews, and documents provided to operate and promote the Platform.

24. Prohibited Use: You may not submit fraudulent requests, harvest user data, introduce malware, or manipulate reviews and rankings.

25–26. Platform Availability & No Professional Advice

25. Availability: Features may be modified or suspended at any time without liability for temporary downtime.

26. No Professional Advice: Content is for informational, research, and discovery purposes only and does not constitute legal, tax, customs, or financial advice.

27. Disclaimer of Warranties

"AS IS" Basis: UpLiquidation and its services are provided strictly on an "as is" and "as available" basis. We disclaim all warranties regarding product condition, manifest accuracy, supplier performance, resale profitability, or uninterrupted access to the fullest extent permitted by law.

28. Limitation of Liability

To the maximum extent permitted by law, UpLiquidation FZC, its officers, employees, and affiliates will not be liable for indirect, consequential, punitive, or lost-profit damages arising from Platform usage or supplier transactions.

Our aggregate liability for any claim shall not exceed the greater of (a) AED 1,000 or (b) amounts paid by you to UpLiquidation for the specific service in the preceding 12 months.

29–31. Release, Indemnification & Independent Relationship

29. Release: You release UpLiquidation from claims arising from disputes with third-party suppliers, freight carriers, or buyers.

30. Indemnification: You agree to defend and hold harmless UpLiquidation FZC against claims resulting from your unlawful use, false submissions, or Terms violations.

31. No Partnership: Suppliers are independent businesses. Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship.

32–34. Removal, Termination & Electronic Notices

UpLiquidation reserves the right to suspend or remove supplier listings and terminate user access for fraud, terms violations, or marketplace integrity concerns.

You consent to receive all notices, disclosures, and communications electronically.

35–38. Governing Law, Dispute Resolution & Jurisdiction

35. Governing Law: These Terms and any related disputes are governed by the federal laws of the United Arab Emirates and the laws of the Emirate of Sharjah.

36. Dispute Notice: Before initiating formal proceedings, parties agree to provide written notice and attempt good-faith resolution for at least 30 days.

37. Exclusive Jurisdiction: Competent Federal Courts in the Emirate of Sharjah, UAE shall have exclusive jurisdiction over all claims.

38. Individual Claims: Disputes must be brought on an individual basis and not as a class action.

39–46. General Contractual Terms

39. International Users: Accessing the Platform from abroad does not establish a physical office or agency in that jurisdiction.

40. Changes to Terms: Updates will be published with a revised "Last Updated" date.

41. Assignment: UpLiquidation may assign rights in connection with a merger or restructuring.

42. Force Majeure: No liability for failures caused by natural disasters, cyber incidents, or network outages.

43–46. Severability & Entire Agreement: If any clause is unenforceable, remaining clauses remain effective.
